analysis question:
3 separate legal doctrines that a plaintiff might seek
1. piercing the corp veil
2. enterprise liability
3. agency theory
under enterprise liability, all corps under a parent umbrella structure would
be treated as non-separate entities. all corps would be treated as a common
enterprise. plaintiff must show that all the companies under the umbrella had
the same directors, employees, bank accounts, books and records
under agency theory,
piercing the corporate veil
under partnership theory, all partners are liable once the corporate veil is
pierced. every partner will be jointly and severally liable because they've
all come together to share profits and control.
THAT'S US.
